Welcome to Casa Verderio Fine Woodworking. The terms "we", "us" and "our" refer to Casa Verderio Fine Woodworking. We operate this store and website, including all related information, content, features, tools, products and services, in order to provide you, the customer, with a curated shopping experience (the "Services"). Our store is powered by Shopify.

These Terms of Service, together with any policies referenced herein, describe your rights and responsibilities when you use the Services. Please read them carefully before purchasing or using the Services.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you should not use or access the Services.

Section 1 — Access and account

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or territory of residence, and you have given us your consent to allow any of your minor dependants to use the Services on devices you own, purchase or manage.

To use the Services, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current and complete, and that you have all rights necessary to provide it.

You are solely responsible for maintaining the security of your account credentials and for all activity on your account. You may not transfer, sell, assign, or licence your account to any other person.

Section 2 — Our products

We have made every effort to accurately represent our products in our online store. However, colours and product appearance may differ from how they appear on your screen due to your device type, settings, and configuration.

Our pieces are handmade from solid timber and other natural materials. As such, each piece carries the individual character of the timber it's made from — grain patterns, colour, and natural features will differ between items. This is not a defect; it is the nature of the material. If you have questions about what to expect from a specific piece before purchasing, please get in touch.

All product descriptions are subject to change at any time at our sole discretion. We reserve the right to discontinue any product at any time and may limit quantities available to any person, geographic region or jurisdiction.

Section 3 — Orders

When you place an order, you are making an offer to purchase. Casa Verderio Fine Woodworking reserves the right to accept or decline any order at its discretion. Your order is not confirmed until you receive an order confirmation email. We must receive and process your payment before your order is accepted.

Please review your order carefully before submitting. For standard products, we may be unable to accommodate cancellation requests after an order is accepted. For custom-sized items (such as plant stands or frames ordered to specified dimensions), once production has commenced we cannot accept cancellations or changes to specifications — please contact us as soon as possible if you need to make changes.

If we do not accept, amend, or cancel an order, we will notify you using the contact details provided at the time of ordering.

Returns and refunds are governed by our Returns & Refunds Policy.

You represent and warrant that your purchases are for personal or household use and not for commercial resale or export.

Section 4 — Prices and billing

Prices are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed, as set out in your order confirmation email.

We may offer promotions from time to time that affect pricing and are governed by separate terms. Where there is a conflict between promotion terms and these Terms, the promotion terms will govern.

You agree to provide current, complete and accurate payment information for all purchases. You represent and warrant that you are authorised to use the payment method provided, and that charges incurred will be honoured by your payment provider.

Section 5 — Shipping and delivery

We ship within Australia only via Australia Post. All delivery timeframes are estimates only and are not guaranteed. We are not responsible for delays caused by Australia Post or events outside our control.

Once we transfer products to Australia Post, risk of loss or damage passes to you. We recommend retaining your tracking number. If your item arrives damaged, please refer to our Returns & Refunds Policy.

Section 6 — Intellectual property

All content on the Services — including trademarks, brand assets, text, images, graphics, product photography, video, and audio, and the design, selection and arrangement thereof — is owned by Casa Verderio Fine Woodworking or its licensors and is protected by Australian and international intellectual property laws.

These Terms permit you to use the Services for personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any material from the Services without our prior written consent.

Casa Verderio Fine Woodworking's name, logo, and brand assets are trademarks of Casa Verderio Fine Woodworking. Shopify's name, logo, and brand assets are trademarks of Shopify. All rights not expressly granted herein are reserved.

Section 7 — Optional tools

You may be provided with access to tools offered by third parties as part of the Services, which we neither monitor nor control. We provide access to such tools "as is" and "as available" without any warranties or representations of any kind, and we have no liability arising from your use of them. Use of any optional third-party tools is entirely at your own risk.

Section 8 — Third-party links

The Services may contain links to third-party websites. We are not responsible for the content, accuracy or practices of any third-party sites. If you choose to leave the Services to access third-party content, you do so at your own risk. Complaints or concerns about third-party products or services should be directed to the relevant third party.

Section 9 — Relationship with Shopify

Casa Verderio Fine Woodworking is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Casa Verderio Fine Woodworking. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Casa Verderio Fine Woodworking, including any injury, damage, or loss resulting from purchased products or services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Casa Verderio Fine Woodworking.

All personal information we collect through the Services is subject to our Privacy Policy and the Australian Privacy Principles. Certain personal information may also be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read these privacy policies.

Section 11 — Feedback and reviews

If you submit any ideas, suggestions, feedback, reviews, or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including to operate and promote the Services.

You represent and warrant that you own or have the necessary rights to all Feedback you submit, and that your Feedback will not violate any third-party rights or these Terms. We are under no obligation to maintain your Feedback in confidence, pay compensation for it, or respond to it. We may monitor, edit or remove Feedback that we determine to be unlawful, offensive, or otherwise objectionable.

Section 12 — Errors, inaccuracies and omissions

There may occasionally be information on the Services that contains typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, shipping charges, or availability. We reserve the right to correct any errors or inaccuracies and to change or update information or cancel orders if any information is inaccurate, at any time and without prior notice.

Section 13 — Prohibited uses

You may use the Services for lawful purposes only. You may not use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any applicable laws or regulations; (c) to infringe our intellectual property rights or those of any third party; (d) to harass, harm, defame, or intimidate any person; (e) to transmit false or misleading information; (f) to transmit advertising or unsolicited promotional material; (g) to impersonate any person or entity; or (h) to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services.

You also agree not to: (a) upload or transmit viruses or malicious code; (b) reproduce, resell, or exploit any portion of the Services; (c) collect or track the personal information of others; (d) use any automated tool, scraper, bot, or AI agent to access the Services without our prior written consent; or (e) interfere with or circumvent the security or authorisation features of the Services. We reserve the right to suspend or terminate your access at any time if we determine you have violated these Terms.

Section 14 — Agents

This section applies if you use, allow, enable, or cause the deployment of an automated agent ("Agent") — meaning any software or service that takes autonomous or semi-autonomous action on your behalf — to access or interact with the Services.

No Agent may access or interact with the Services unless it: (i) identifies itself as an Agent and discloses its name in all HTTP/HTTPS requests via the user agent string (format: "Agent/[agent name]"); (ii) does not conceal or obfuscate that interactions are from an Agent, including by mimicking human behaviour or circumventing CAPTCHAs; (iii) responds truthfully to any prompt seeking to determine if interactions are from a human or a computer; and (iv) does not circumvent any measure intended to limit or control Agent access. We may restrict Agent access by technical or other means at any time.

Section 15 — Termination

We may terminate this agreement or your access to the Services at any time, in our sole discretion and without notice. You will remain liable for all amounts due up to and including the date of termination. Sections relating to intellectual property, feedback, disclaimer of warranties, limitation of liability, indemnification, and governing law will survive any termination.

Section 16 — Disclaimer of warranties

TO THE EXTENT PERMITTED BY AUSTRALIAN LAW, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

Nothing in this section excludes any guarantee, warranty, or right that cannot be excluded under the Australian Consumer Law.

Section 17 — Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY AUSTRALIAN LAW, CASA VERDERIO FINE WOODWORKING, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AND SERVICE PROVIDERS, AND THOSE OF SHOPIFY AND ITS AFFILIATES, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR REPLACEMENT COSTS, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PURCHASED THROUGH THEM.

Nothing in this section excludes or limits any right or remedy that cannot be excluded or limited under the Australian Consumer Law, including the consumer guarantees.

Section 18 — Indemnification

You agree to indemnify, defend and hold harmless Casa Verderio Fine Woodworking, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, and service providers from any losses, damages, liabilities or claims, including reasonable legal costs, arising from: (1) your breach of these Terms; (2) your violation of any law or the rights of a third party; or (3) your access to and use of the Services.

Section 19 — Severability

If any provision of these Terms is found to be unlawful, void or unenforceable, that provision will be enforced to the fullest extent permitted by law, and the unenforceable portion will be deemed severed from these Terms without affecting the validity of any other provision.

Section 20 — Waiver and entire agreement

Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision. These Terms, together with any policies referenced herein, constitute the entire agreement between you and Casa Verderio Fine Woodworking and govern your use of the Services, superseding any prior agreements, communications or proposals between us.

Section 21 — Assignment

You may not delegate, transfer or assign these Terms or any of your rights or obligations under them without our prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without notice to you.

Section 22 — Governing law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. You and Casa Verderio Fine Woodworking consent to the exclusive jurisdiction of the courts of New South Wales for any disputes arising from these Terms or your use of the Services.

Section 23 — Changes to these Terms

We reserve the right to update or replace any part of these Terms at any time by posting the revised version to this page. We will notify you of any material changes in accordance with applicable law. Your continued use of the Services following any changes constitutes your acceptance of the revised Terms.
